General Terms and Conditions of Sale - Aiglon
All sales and all orders accepted by the company AIGLON (hereinafter the "Seller") are governed by the conditions of sale included in the offers, acceptances of orders, sales contracts and / or delivery documents from the Seller as well as by these conditions of sale. In case of conflict between on the one hand, the special conditions and / or the general conditions of sale of the Seller and, on the other hand, the special terms and / or conditions of purchase of the Buyer, the special conditions and / or general conditions of sale of the Seller will prevail and the Buyer commits itself to respect them.
A firm sale cannot be canceled by the Buyer except in the case of loss or damage prior to delivery, in which case the Seller shall not be liable to the Buyer except for the reimbursement of deposits or of the price paid by him with the exclusion of damages.
The reception of the products by the Buyer ends all recourse against the Seller except for claims that must be made within 8 days of receipt to be valid.
No discount will be granted for early payment. In accordance with the provisions of Article L.441-6 paragraph 12 of the French Commercial Code, any partial or total non-performance by thebuyer of its payment obligations or any delay in payment in relation to the due date indicated on the invoice, shall automatically result in the payment of a penalty calculated at 3 times the legal interest rate in force on the due date. The interest shall start to run from the date of payment shown on the invoice and shall continue to run until the day of full payment of the sums due. Any month started shall be due in full. The amount of the fixed compensation for collection costs is set at €40.
PENALTY CLAUSE
In case of deferred payments or installments, the failure to settle a deadline will result in the legal right to accelerate the maturity. In this case, the full price and VAT and all other sums due to any reason whatsoever to the Seller will become immediately due.
The terms of payment mentioned in I of Article L.441-1 shall specify the conditions of application and the interest rate of the late payment penalties payable on the day following the date of payment shown on the invoice, as well as the amount of the flat-rate compensation for the creditor's recovery costs in the event that the sums due are paid after this date. Unless otherwise provided, which may not however set a rate lower than three times the legal interest rate, this rate shall be equal to the interest rate applied by the European Central Bank to its most recent refinancing operation plus 10 percentage points.
In addition, any delay in payment shall result in a fixed penalty, at the expense of the buyer of 15% of the amount of the unpaid invoice.
OWNERSHIP RESERVATIONS
By express agreement, the goods supplied remain the property of the Seller until the last day of full payment of the price, VAT and accessories in accordance with Article L624-16 of the Commercial Code. Despite this reservation of title, all goods travel at the risk of the Buyer.
These Terms and Conditions and any sale or other transaction between the Seller and Buyer are governed by French law. With regard to international sales, the implementation of the UN Convention on Contracts for the International Sale of Goods of 11 April 1980 is excluded to the extent that the Convention would be incompatible or inconsistent with these Terms and Conditions of Sale. For all disputes relating to sales of goods and these terms and conditions, as much in terms of their validity, as their interpretation, performance or termination and their consequences, even if multiple defendants or third parties and whatever payment terms, the exclusive jurisdiction is made to the Commercial Court of COMPIEGNE. This grant of jurisdiction is stipulated in favor of the Seller, which reserves the right to take all other jurisdictions that have vocation to be competent.
